When you use any Toreda website, including https://toreda.ai/ (the “Website”), or use any of our Services, you agree to these Terms of Service (the “Agreement”).
The Website and all Services are provided by RamCast Enterprises L.L.C. d/b/a Bearcat Solutions, a Texas limited liability company located at 5900 Balcones Drive, Suite 100, Austin, Texas 78731 (“Toreda,” “we,” “our,” or “us”). The Website is available for persons over the age of 18 to access and use the Services in accordance with this Agreement (“Customer” or “you”). The Website may not be used for any other purpose.
WARNING: All investing and trading involves risk, including the possible loss of your money. Investments can lose value. You should always seek professional advice before making investment decisions. You agree that the information you provide is true, accurate, current, and complete. You assume all investment risk with respect to your account. Your account is for your personal use only and may not be shared. You are responsible for all activity that takes place under your account, whether or not you have authorized such activity. You are responsible for safeguarding your account credentials, which you may not share or reuse.
Your account is subject to the laws and regulations of various governmental and self-regulatory organizations, which at times may require us to take action with respect to the account, including suspending, restricting, or terminating transactions and transfers. Toreda may suspend or terminate accounts at any time without notice, such as when we suspect a violation of this Agreement. Access to the Website and Services will be unavailable upon account suspension or termination.
Toreda is a provider of software and tools that you use at your own discretion and risk. You acknowledge and agree that Toreda does not and cannot guarantee the performance of your account, protect against losses, or provide insurance. You acknowledge and agree that Toreda’s role is limited to providing the software underlying the Services in accordance with this Agreement. You have not engaged Toreda to provide any financial planning services, investment advice, fund management, or any similar or licensed or professional services.
Toreda is not a financial broker, financial advisor, financial manager, or financial representative. None of the information provided through the Website is intended as investment advice, an offer or solicitation to buy or sell securities of any kind, or a recommendation, endorsement, or sponsorship of any security, company, or fund.
Toreda does not provide legal or tax advice and does not assume any liability for the tax consequences of any Customer transaction. You should consult with your own tax advisor regarding the tax consequences of investing. You and your personal tax advisor are responsible for all required reporting to the IRS or other authorities regarding your account.
The Website may contain links to third-party websites and services. We may receive compensation when a Customer signs up for a third-party service through our affiliate link. Toreda disclaims all responsibility for the performance of any service provided by a third party.
The Services may include performance dashboards, trade scoring tools, and analytics to help you better track and understand your past trading behavior. All such content is for educational purposes only, and is not intended as legal, investing, tax, or financial planning advice, or to be relied upon for making investment decisions. Such content is not to be interpreted as recommending specific trades, securities, or strategies. Any trading or investment decisions you make are entirely your responsibility and at your own risk. Toreda will not be liable for decisions or actions you take or do not take based on information you receive through the Website or Services.
By connecting a brokerage, you are directing and authorizing Toreda to retrieve account information and otherwise exchange information incidental to the connection. You represent and warrant that you have legal control of the account and that you have the right to create such a connection. You acknowledge that your use of such third parties may be subject to their policies or legal agreements.
Toreda is not responsible for connection failures, internet failures, other technical difficulties, or actions, errors, or omissions on the part of a connected brokerage. Toreda cannot control what data is made available to us by a connected brokerage (including trade data) or when it is provided. Toreda cannot guarantee the timeliness or accuracy of data transmitted to or from a connected brokerage.
The Website and Services may contain information and content created in whole or in part by artificial intelligence models in response to information you provide (“AI Content”). Examples of AI Content include AI Coach, Trade Analyzer, Daily Recaps, and Dashboard Insights. All AI Content is provided “as is” and “as available,” and without warranty. AI Content is generated by a third-party large language model and Toreda cannot guarantee its accuracy, reliability, safety, or predictive value. AI Content does not have authority to make or alter any agreements or policies.
We may provide content on the Website or Services pertaining to market data. You acknowledge that this content is sourced from third parties, and is obtained from sources believed to be reliable but is not guaranteed as to its accuracy, timeliness, or completeness. Such information could include technical or other inaccuracies, errors, or omissions.
By purchasing a subscription to the Services, you agree to pay the amount displayed on the Website, and applicable tax, on a recurring basis. Your subscription will automatically renew until you cancel it. Monthly subscriptions will renew every month. Annual subscriptions will renew every twelve months. To cancel renewal of your subscription, you may select the Cancel option in your account on the Website. You will retain access to your subscription until the end of the current period. SUBSCRIPTION PAYMENTS ARE NONREFUNDABLE AND THERE ARE NO REFUNDS OR CREDITS FOR PARTIALLY USED SUBSCRIPTIONS.
By providing your credit or debit card, or other payment method information, you authorize us to charge or debit that payment method for products purchased, and you agree that your information may be shared with our vendors as part of processing your payment. We shall not be liable for such third-party use or disclosure. Receipts may be provided to you via electronic mail.
The Website is solely for your personal, non-commercial use, and may not be used in connection with professional corporate use, including competitive analysis. You may not attempt to modify, reverse-engineer, decompile, disassemble, or otherwise reproduce the Website or Services or any content. You may not access the Website or Services in any manner other than as expressly authorized by Toreda in writing. You may not attempt to manipulate any AI Content. You agree to use the Website and Services only in compliance with all applicable laws, rules and regulations and in a manner that is not detrimental to us. Toreda reserves the right to investigate all suspected issues with the Website or Services and to provide information to legal authorities.
You represent and warrant that: (i) you are at least eighteen (18) years old and have requisite legal capacity, authority, and power to enter into this Agreement; (ii) all information you provide is true, accurate, updated, and correct; and (iii) you are not located in, or a resident or a national of, any country subject to a U.S. government embargo, sanctions, or other restriction, or that has been designated by the U.S. government as a “terrorist supporting” country.
Our Website and all content we publish are the copyright of Toreda. All third-party trademarks, product names, and company names and logos appearing on the Services are the property of their respective owners. If you believe that material on the Website infringes your valid copyright, you may send a valid DMCA notice to us at the address above.
If you provide any creative ideas, suggestions, reviews, content, artwork, or other material (“Feedback”) to us, then you hereby grant us a worldwide, perpetual, royalty-free, irrevocable, transferable, non-exclusive right to use, communicate, reproduce, publish, display, perform, modify, adapt, translate, sublicense, distribute, create derivative works from, and commercialize such Feedback.
The Website and Services may change or become unavailable in whole or in part at any time without notice. We cannot guarantee that the Website or Services will always be available, error-free, up to date, safe, or secure. Toreda further disclaims all liability for technical functioning or malfunctioning of the Website and Services, including telephone network or service failures, API failures, data inaccuracies, brokerage execution issues, computer systems, servers, providers, equipment, software, email delivery failures, account login issues, or other services due to technical problems, internet traffic, or third parties.

Under no circumstances shall we be liable to you or any third party on account of your use or misuse of or reliance on the Website or Services. TO THE EXTENT PERMITTED BY LAW, THE MAXIMUM AGGREGATE LIABILITY OF TOREDA FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, SHALL BE LIMITED TO THE GREATER OF (1) FIFTY DOLLARS ($50.00) OR (2) THE PRICE YOU PAID WITHIN THE LAST TWELVE MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.
To the extent permitted by law, you agree to indemnify, defend and hold harmless Toreda and its members, managers, employees, and agents, from and against any and all liability, claims, investigations, costs and expenses (including attorney’s fees and expenses) arising from, related to, or resulting from (i) your use or misuse of the Website or Services, (ii) any trading activity associated with your account, or (iii) your violation of this Agreement, any rights of a third party, or any applicable law, rule or regulation.
This Agreement may be terminated by either party for any or no reason. You may terminate this Agreement by closing your account. Toreda may terminate this Agreement by providing notice to you via the email address associated with your account. All provisions of the Terms that by their nature should survive termination will survive termination, including Disclaimers of Warranties, Limitation of Liability, Indemnification, IP Rights, Governing Law, Waiver of Class Action and Jury Trial, and Miscellaneous.
The Website and Services are designed, operated, and provided solely from the State of Texas, United States. This Agreement, and all claims related to or arising from, related to, or resulting from this Agreement, the Website, the Services, or any trade, purchase, or sale of any securities or investments, or otherwise involving Toreda or Customer (“Claims”), shall be governed solely by the law of the State of Texas, without reference to its conflict of laws principles.
The parties agree that any Claim shall be subjected to the exclusive jurisdiction of the state or federal courts located in Travis County, Texas. Claims must be brought within one (1) year of purchase or shall be waived. To the extent permitted by law, the parties agree that any Claim will proceed on an individual basis only and not as a class or collective action, and the parties waive their right to a jury trial on any Claim.
This Agreement makes up the entire agreement between you and Toreda, and supersedes and replaces all prior or contemporaneous representations, understandings, and agreements, written or oral. We may change this Agreement by notifying you by any reasonable means, including by posting a revised Agreement through the Website. Your access to or use of the Website or Services following any changes to this Agreement will constitute your acceptance of such changes. If you do not agree to this Agreement, you may stop using the Website and Services.
The Services are provided by Toreda solely as an independent contractor, and nothing in this Agreement or on the Website shall be construed to create any employment, partnership, joint venture, fiduciary, or other relationship between you and Toreda.
Each provision of this Agreement is a separately enforceable provision. If any provision of this Agreement is determined to be unenforceable, it shall be reformed to the extent necessary in order for this Agreement to remain in effect.
You may not assign or delegate any of your rights or obligations hereunder without our prior written consent, and any such attempt is void. We may freely assign, subcontract, or delegate our rights and obligations hereunder without notice to you.
Under no circumstances shall Toreda be liable or responsible, or be deemed to have defaulted under or breached this Agreement, for any delay or failure in fulfillment or performance arising from, related to, or resulting from acts, causes, forces or circumstances beyond our control, such as natural disaster, criminal or violent acts by a third party, epidemics, government actions, inability to procure goods, technological disruption, loss of data, or nonperformance by third parties.
Legal notices to Toreda must be sent via certified first class, air mail, or overnight courier, and are deemed given upon receipt. Notice to you may be effected by sending email to the email address you provide, and is deemed received when sent. Toreda also provides notices through our Website that may pertain to your online experience, and such notices are deemed given when displayed.

Disclosure on Performance Data
The performance metrics, scores, equity curves, and analytics displayed within Toreda are calculated from trade data imported from your connected broker accounts or manually entered by you. These metrics reflect historical results and have inherent limitations. No claim is made that any trading approach tracked in Toreda will achieve or is likely to achieve future profits or losses comparable to those shown. Actual trading results can differ significantly from historical performance data. Performance analytics benefit from hindsight and cannot account for all market factors, emotional decision-making, or evolving market conditions that affect real-time trading. Many factors — including slippage, commissions, market liquidity, and individual execution — can adversely affect actual trading results beyond what is reflected in the platform's analytics.
